Quick Summary
DIR-3 KYC is an annual compliance requirement where directors verify their details with MCA.
DIR-3 KYC is the periodic identity verification that every Director Identification Number (DIN) holder must file with the Ministry of Corporate Affairs (MCA) under Rule 12A of the Companies (Appointment and Qualification of Directors) Rules, 2014. It reconfirms a director's identity and current contact details on the MCA21 registry. Following the Companies (Appointment and Qualification of Directors) Amendment Rules, 2025 (Gazette G.S.R. 943(E), effective 31 March 2026), this filing moved from an annual obligation to once every three financial years.
Who must file and by when
Any individual holding a DIN in 'Approved' status as on 31 March of a financial year must complete KYC through Form DIR-3 KYC-Web, due by 30 June, once every third consecutive financial year. Directors who are already current on their KYC fall due next by 30 June 2028. The earlier separate eForm DIR-3 KYC and the web service have been consolidated into a single Form DIR-3 KYC-Web, authenticated by one-time passwords (OTP) sent to the director's registered mobile number and email.
Event-based updates
A change in a director's mobile number, email address or residential address must be intimated within 30 days through the same form, regardless of where the director stands in the three-year cycle.
Consequences of non-filing
Missing the deadline causes the DIN to be marked "Deactivated due to non-filing of DIR-3 KYC". A deactivated DIN cannot be used to sign company filings or accept new appointments. Reactivation requires filing Form DIR-3 KYC-Web with a late fee of Rs 5,000.
