A Chief Executive Officer (CEO) is the senior-most executive responsible for the day-to-day running of a company and for carrying out the strategy set by its Board of Directors. Under the Companies Act, 2013 the CEO is a formally recognised office: Section 2(18) defines a CEO as "an officer of a company who has been designated as such," and Section 2(51) lists the CEO among a company's Key Managerial Personnel (KMP). The CEO reports to the Board and is accountable for the company's performance, statutory compliance and internal controls.

Legal basis

The role rests on three provisions: Section 2(18) (definition), Section 2(51) (KMP status), and Section 203 read with Rule 8 of the Companies (Appointment and Remuneration of Managerial Personnel) Rules, 2014, which requires every listed company and every other public company with paid-up share capital of Rs 10 crore or more to appoint whole-time KMP. A company can meet the top-executive requirement by appointing a Managing Director, a CEO, or a manager.

CEO vs Managing Director

The two roles overlap but are legally distinct. A Managing Director (Section 2(54)) must be a director on the Board; a CEO need not be a director at all and can be a professional executive who simply holds the designation. One person may hold both titles, but that is a choice, not a legal requirement.

Additional obligations

For listed entities, the CEO and CFO must jointly certify the annual financial statements and internal controls under Regulation 17(8) of the SEBI (LODR) Regulations, 2015. As a KMP, the CEO's appointment and remuneration are disclosed in the Board's report.
