A board resolution is a formal decision taken by the board of directors of a company, recording that the directors have collectively agreed to a specific action at a duly convened board meeting or, where permitted, by circulation. It is the primary instrument through which the board exercises its management powers under Section 179(1) of the Companies Act, 2013, and it creates a documented, auditable trail of corporate authority.

How it is passed
A board resolution is carried by a simple majority of directors present and voting at a meeting that meets the quorum in Section 174 (one-third of total strength or two directors, whichever is higher). The "ordinary" versus "special" distinction applies to members' resolutions under Section 114 at general meetings, not to the board. Certain resolutions may instead be passed by circulation under Section 175.
Filing with the Registrar
Section 179(3) lists powers that can be exercised only by resolution at a board meeting, and specified resolutions must be filed with the Registrar of Companies in Form MGT-14 within 30 days under Section 117 read with Rule 8 of the Companies (Meetings of Board and its Powers) Rules, 2014. Private companies are exempt from filing MGT-14 for Section 179(3) resolutions per MCA notification GSR 464(E) dated 5 June 2015, though other Section 117(3) matters still require filing.
